Powers of Attorney

 

We prepare powers of attorney in Spanish/English bilingual form for companies and limited

liability partnerships doing business in Spain for execution at our offices/client’s offices or

before local notaries.  For example

 

            - To incorporate Spanish private limited companies: "Sociedad de
Responsabilidad Limitada/Sociedad Anónima”
            - To buy and sell shares (“acciones”) or participations (“participaciones”)
in Spanish companies
            - To establish Spanish Branch Offices and Representative Offices
            - To manage Spanish Branch Offices
            - To purchase, sell, mortgage and manage property
            - To provide third party guarantees
            - For litigation
            - To open and operate bank accounts
            - To obtain a Spanish Tax Identification Number and appoint a Spanish
 tax representative
            -           To appoint agents to complete other transactions in Spain

 

Other Documents

 

Where necessary we provide:

 

            -           preparation of bid and tender documents
            - deeds of revocation of powers of attorney
            - deeds of ratification of documents signed by “mandatario verbal”
/oral attorney
            - notarial certificates of good standing
            - notarial certificates on appointment and resignation of directors
(eg to update records of Spanish branch offices at the relevant
Spanish Commercial Registry)
            - notarised copies of Certificates of Incorporation, Memorandum and
Articles of Association, Board Resolutions, Company Accounts, etc.
            - Official Spanish translations of company documents, such as,
Certificates of Incorporation, Memorandum and Articles of Association

 

If Companies House Certificates are required, we will arrange for these to be issued

by Companies House. For example, Certificate of Good Standing, Certificate confirming

filing of annual accounts (required for Spanish Branch Offices on an annual basis).

 

Offshore Companies

 

We prepare powers of attorney and revocations in Spanish/English bilingual form (see

above list) and provide official Spanish translations of company documents, such as,

Certificates of Incorporation, Memorandum and Articles of Association.

 

Doing Business in Latin America (Spanish Speaking)

 

We also provide notarial services relating to  documentation for use in Spanish speaking

Latin America. eg Powers of Attorney, notarially certified company documents (Certificates

of Incorporation, Memorandum and Articles of Association, Board Resolutions), bid and

tender documentation, official Spanish translations, etc.

 

Spanish Companies

 

If you are a Director (or duly appointed Attorney-in-fact) of a Spanish Company and need

to execute a document for Spain, it is possible to execute certain documents before an

English notary.  Where necessary, we will liaise with your Spanish lawyer. We regularly

prepare the following documents signed by Directors on behalf of Spanish companies:

 

- All kinds of powers of attorney eg for litigation, to manage the business, purchase, sell

  and mortgage properties, buy and sell shares etc.

- “Elevaciones a Público de Acuerdos Sociales” (Notarial Deeds recording company

  resolutions) eg on resignation and appointment of directors, change of management

  structure/registered office/company name, amendment to articles of association, etc.

 

Legalisation of Documents

 

We will arrange for documents to be legalised by Apostille pursuant to The Hague

Convention of 5th October 1961 for use in Spain/Latin America.  Where the Latin

American country in question has not ratified The Hague Convention, we will arrange

for the documents to be legalised by the relevant Consulate in London.

 

Private Clients

form for private individuals for use in Spain for execution at our offices or before local

notaries.  For example, we prepare the following powers of attorney:

We also notarise Powers of Attorney  for use in Spanish speaking Latin America.

 

Administration of the Estate of a Deceased British National in Spain

 

If you are the executor/beneficiary of an estate in Spain, we will liaise with your Spanish

Lawyer in order to provide him/her with the  necessary documentation to wind up the

estate in Spain. For example, we provide the following services:

 

 

            -           Translation of English Death Certificate into Spanish
            - Conduct a search at the Central Wills Registry in Madrid.  The search
will reveal whether the deceased executed a Spanish Will.
            - Translation into Spanish of English Grant of Probate with Will annexed
/ Letters of Administration
            - Preparation of Powers of Attorney for execution by executor/beneficiary
to the estate (required where they cannot  travel to Spain to sign the

Spanish Inheritance Deed before a Notary)
